These Terms and Conditions govern your access to and use of the LS Consulting Solutions LLC website and constitute a binding legal agreement between you and LS Consulting Solutions LLC.

Acceptance of terms

By accessing, browsing, or using the LS Consulting Solutions LLC website located at lsconsultingsolutions.com (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and all policies incorporated herein by reference, including our Privacy Policy, HIPAA and Compliance Policy, and Scope of Service statement.

If you do not agree to these Terms in their entirety, you must immediately discontinue all use of this Site. If you are accessing this Site on behalf of an agency or facility, you represent that you have authority to bind that entity to these Terms.

Who we are

LS Consulting Solutions LLC is a California limited liability company providing specialized documentation support services. We provide pre-submission quality assurance reviews for licensed home health agencies nationwide and LIC form preparation and binder organization services for licensed residential care facilities in California.

LS Consulting Solutions LLC is not a healthcare provider, nursing agency, clinical staffing organization, medical practice, or regulatory compliance firm of any kind. The nature and scope of our services are described in detail in our Scope of Service statement set forth in Section 5 of these Terms.

Use of this website

3.1 — Permitted use

This Site is provided for the purpose of informing licensed home health agencies and residential care facilities about LS Consulting Solutions LLC's documentation support services and facilitating inquiries and onboarding. You are granted a limited, non-exclusive, revocable license to access and use the Site for these purposes only.

3.2 — Prohibited conduct

• Use the Site for any unlawful purpose or in violation of any applicable law

• Submit any patient PHI or RCFE resident information through any form or channel on this Site

• Attempt to gain unauthorized access to any portion of the Site or its systems

• Use any automated means to access or scrape the Site or its content

• Reproduce, duplicate, or exploit any content on this Site without prior written permission

• Impersonate any person or entity or misrepresent your affiliation

Strictly prohibited

Submission of patient PHI or RCFE resident information through this website is strictly prohibited. PHI is exchanged only through HIPAA-compliant channels established after BAA execution. Resident information is exchanged only through secure channels established after Confidentiality Agreement execution.

Services — overview

The content on this Site describes the documentation support services offered by LS Consulting Solutions LLC. The actual provision of services is governed by the separately executed Service Agreement and, as applicable, the Business Associate Agreement or Confidentiality Agreement. Nothing on this Site constitutes a binding commitment to provide services to any particular agency or facility.

LS Consulting Solutions LLC reserves the right to accept or decline any request for services at its sole discretion and to modify, suspend, or discontinue any aspect of its services at any time upon reasonable notice.

Scope of service and clinical authority statement

This section is a material term

This Scope of Service and Clinical Authority Statement is a material term of these Terms and Conditions. All persons who access this website or use our services are deemed to have read, understood, and accepted this statement in full.

5.1 — Home health QA service scope

LS Consulting Solutions LLC provides pre-submission quality assurance reviews of home health patient chart documentation. The review covers five chart components: the OASIS, ICD-10 diagnostic coding, medication list, provider documentation, and Plan of Care. Each component is reviewed for internal consistency and alignment with the MD Order before the Plan of Care is submitted to the physician for signature.

LS Consulting Solutions LLC does not practice nursing, medicine, or any licensed healthcare profession. It does not complete, finalize, sign, certify, or submit any Plan of Care, OASIS, or other clinical document. It does not assign or finalize ICD-10 diagnostic codes. Its review of ICD-10 diagnostic coding is limited solely to identifying inconsistencies between the codes assigned and the MD Order, OASIS, and medication list — for the Director of Nursing's consideration only. The Director of Nursing at each client agency retains full, exclusive, and non-delegable clinical authority over all patient care and documentation decisions at all times.

All written findings and recommendations produced by LS Consulting Solutions LLC are non-binding, non-clinical documentation reference tools only. They are delivered to the Director of Nursing before the Plan of Care is submitted to the physician for signature. The Director of Nursing retains full authority to accept, modify, reject, or disregard any finding or recommendation before the Plan of Care moves forward.

5.2 — RCFE documentation service scope

LS Consulting Solutions LLC provides LIC form preparation and resident binder organization services for licensed residential care facilities in California. Required LIC forms are prepared based solely on source documents provided by the facility. Completed forms and organized binders are uploaded to the facility's designated secure Dropbox folder for the facility operator's review.

LS Consulting Solutions LLC does not sign, certify, or authorize any LIC form or any other document in the resident binder. It does not practice nursing, medicine, social work, or any licensed healthcare or human services profession. It does not make clinical or administrative determinations about any resident. It does not submit any form to CDSS or any licensing authority on behalf of any facility.

Two forms are outside the scope of LS Consulting Solutions LLC's services and must be completed by the appropriate licensed medical professional: the LIC 602A Medical Assessment, which must be completed and signed by the resident's physician or authorized licensed medical professional, and the TB Screening, which must be conducted and documented by qualified licensed clinical personnel. The facility is responsible for obtaining both and including them in the binder.

All completed forms are returned to the facility operator for independent review, correction if necessary, and signature. The facility operator retains full, exclusive, and non-delegable authority and legal responsibility over every form in the resident binder. LS Consulting Solutions LLC holds no administrative or clinical authority over any document it prepares.

5.3 — Shared scope limitations

The following are expressly outside the scope of all services provided by LS Consulting Solutions LLC, regardless of any request, instruction, or direction from any client:

• Practice of nursing, medicine, social work, pharmacy, or any licensed healthcare profession in any jurisdiction

• Clinical assessment, evaluation, or determination of any kind with respect to any patient or resident

• Assignment, alteration, or finalization of ICD-10 diagnostic codes

• Signing, certifying, authorizing, or submitting any clinical or regulatory document

• Supervision, direction, or control of any clinical or care staff

• Regulatory compliance consulting, legal advice, or guarantee of survey or inspection readiness

• Any function requiring a clinical or professional license in any jurisdiction

5.4 — No clinical or administrative relationship

Nothing in these Terms, on this Site, or in the provision of LS Consulting Solutions LLC's services creates any clinical, therapeutic, patient-provider, or administrative relationship between LS Consulting Solutions LLC and any patient or resident of any client. LS Consulting Solutions LLC owes no duty of care to any patient or resident of any client agency or facility.

HIPAA, resident information, and data privacy

LS Consulting Solutions LLC operates as a Business Associate under HIPAA with respect to PHI received from home health agency clients. The receipt, handling, use, and protection of PHI is governed by the applicable Business Associate Agreement executed between LS Consulting Solutions LLC and each home health agency client, and by HIPAA and its implementing regulations.

Resident information received from RCFE facility clients is governed by the applicable Confidentiality Agreement executed between LS Consulting Solutions LLC and each facility client, and by applicable California privacy law including the Confidentiality of Medical Information Act (Cal. Civ. Code § 56 et seq.).

No PHI or resident information is to be submitted through this website under any circumstances. LS Consulting Solutions LLC's full data privacy practices are described in the Privacy Policy and HIPAA and Compliance Policy on this Site.

Intellectual property

All content on this Site — including text, graphics, logos, images, page layouts, and design elements — is the exclusive property of LS Consulting Solutions LLC or its licensors and is protected by applicable intellectual property laws. The LS Consulting Solutions LLC name, logo, and service marks are proprietary. No license to use any trademark or service mark of LS Consulting Solutions LLC is granted by access to this Site.

Written findings produced for home health agencies and completed forms produced for RCFE facilities are licensed to the applicable client for internal use only, subject to the terms of the applicable Service Agreement. Such deliverables may not be distributed or used for any purpose outside the client's internal review process.

Disclaimer of warranties

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES DESCRIBED ON OR ACCESSIBLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

LS CONSULTING SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY WARRANTY THAT THE SITE WILL BE AVAILABLE OR ERROR-FREE, THAT ANY WRITTEN FINDINGS OR COMPLETED FORMS WILL BE FREE FROM ERROR OR OMISSION, OR THAT USE OF ITS SERVICES WILL RESULT IN REGULATORY COMPLIANCE, FAVORABLE SURVEY OR INSPECTION OUTCOMES, OR ANY SPECIFIC CLINICAL, OPERATIONAL, OR BUSINESS RESULT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LS CONSULTING SOLUTIONS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THIS SITE, ANY CONTENT ON THIS SITE, OR ANY SERVICES DESCRIBED ON THIS SITE.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF LS CONSULTING SOLUTIONS LLC TO YOU EXCEED THE GREATER OF THE TOTAL FEES PAID BY YOUR AGENCY OR FACILITY FOR THE SPECIFIC SUBMISSION GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00).

Indemnification

You agree to indemnify, defend, and hold harmless LS Consulting Solutions LLC and its members, managers, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your access to or use of this Site; your violation of these Terms or any applicable law; your submission of PHI or resident information through this Site; any patient care or documentation decision made by your clinical staff; any regulatory finding, survey deficiency, or compliance failure of your agency or facility; or any misrepresentation made by you in connection with your use of this Site or our services.

Governing law and dispute resolution

11.1 — Governing law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles, except to the extent that federal law applies.

11.2 — Mandatory mediation

Before initiating any formal legal proceeding, the parties agree to attempt resolution through good-faith informal negotiation for thirty (30) days following written notice of the dispute. If unsuccessful, the parties shall submit to non-binding mediation in Los Angeles County before initiating litigation.

11.3 — Venue

Any legal action arising under these Terms shall be brought exclusively in the state or federal courts of competent jurisdiction in Los Angeles County, California.

11.4 — Waiver of jury trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING UNDER THESE TERMS.

11.5 — Class action waiver

You agree that any dispute resolution will be conducted only on an individual basis and not as a class or representative action.

General provisions

These Terms, together with our Privacy Policy, HIPAA and Compliance Policy, and Scope of Service statement, constitute the entire agreement between you and LS Consulting Solutions LLC with respect to your use of this Site. If any provision is found unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions shall continue in full force. Our failure to enforce any right shall not constitute a waiver. We reserve the right to modify these Terms at any time by updating this page. Your continued use of the Site constitutes acceptance of revised Terms.
